Order and Checkout Terms

1. What you agree to at checkout
When you check out, you agree to these Order and Checkout Terms, together with the Terms of Service, the Public Refund Policy, and the Usage Rights and Licensing Schedule. Completing checkout forms a binding agreement on these terms. The specific scope of your work is then confirmed in the confirmation phase below, and you can cancel for a full refund until that confirmation.
Sphin Media is the studio brand operated by Assur Media (Registration No. 9978). The contracting party is Assur Media.
2. Placing your order
You order by choosing a package or standalone project, completing a short scope form, and checking out. You do not need to create an account. Payment is taken in full at checkout.
3. The confirmation phase
Within one Business Day of your order, a Sphin Media strategist reviews your brief and confirms the scope with you. There are three outcomes:
Proceed as ordered;
Adjust the scope (small adjustments are absorbed; a larger change is re-quoted);
Cancel for a full refund.
Sphin Media may also decline to proceed, in which case you receive a full refund.
No work starts and nothing is locked in until both sides confirm the scope. Until then, you can cancel for a full 100% refund.
4. What happens after confirmation
Once both sides confirm the scope, work begins, and the refund stages in the Public Refund Policy apply from that point. For a standalone project, the agreed scope, deliverables, milestones, and revision rounds are set out in a Statement of Work.
5. Price, payment, and what is included
The price you pay is the published, all-in price for the package, project, and service tier you chose. There are no hidden fees added at checkout.
For paid advertising, a management fee of 15% of advertising spend applies, and the advertising spend itself is separate and paid by you.
If you choose to opt in to the Sphin Media portfolio, a 10% discount applies to your order total before any applicable tax, and you grant Sphin Media a licence to display the completed work. This does not change who owns the work. The detail is in the Usage Rights and Licensing Schedule.
6. Your deliverables and rights
Ownership of your final deliverables, the source and working files included as standard, and the handling of any third-party assets are set out in the Usage Rights and Licensing Schedule.
Ownership of your final deliverables passes to you by a written assignment in the form the United Arab Emirates copyright law requires, as set out in that Schedule. Moral rights remain with the author and cannot be assigned or waived, which does not affect your ownership or use of the work.
7. What we do not promise
Sphin Media does not guarantee results, bookings, revenue, return on investment, rankings, patient numbers, or clinical outcomes. What we commit to is the work and its timing.
8. Your consumer rights and lawful use
Nothing in these terms removes any right you have that cannot be removed by agreement. Where the law of your market gives you a statutory right that applies and cannot be waived, for example a return or withdrawal right, that right applies in addition to these terms.
Placing an order is on the basis that you are acting lawfully. Sphin Media may decline or end an order where it reasonably suspects, on a stated basis, fraud or unlawful activity, and may decline a refund where there is credible, substantiated evidence of such activity, as set out in the Public Refund Policy and the Master Services Agreement.
9. Governing law
These terms are governed by the law of the United Arab Emirates.
Disputes are dealt with in two stages. First, the parties will try in good faith to resolve the dispute through discussion, within 10 days of one party notifying the other of the dispute. Second, if the dispute is not resolved in that period, it is referred to arbitration seated in the United Arab Emirates, administered by a recognised United Arab Emirates arbitral institution (proposed: the Dubai International Arbitration Centre, under its rules then in force), before a sole arbitrator, under the United Arab Emirates Arbitration Law (Federal Law No. 6 of 2018).
Sphin Media operates under Assur Media, a UAE free zone partnership (Registration No. 9978). All commercial and legal correspondence is issued under Assur Media.
