Terms of Service

These terms apply to the Sphin Media website and to ordering Sphin Media's services. Please read them before you place an order. If anything here is unclear, write to us at legal@assurmedia.com and we will explain it.

1. Who we are

Sphin Media is the studio brand operated by Assur Media, a UAE Free Zone Company registered under the Sharjah Research Technology and Innovation Park Free Zone Authority, Registration No. 9978. Assur Media is the contracting party, and all commercial and legal correspondence is issued under Assur Media.

In these terms, "we", "us" and "our" mean Assur Media, trading as Sphin Media. "You" means the person or organisation using this website or placing an order.

2. Words we use in these terms

Business Day. A Business Day is any day other than a Friday, a Saturday, or a public holiday in the United Arab Emirates.

Standalone Project. A Standalone Project is any purchase that is not a retainer. This includes Launch packages and individual projects such as a Brand Build, a Website Build, or a Short-Form Video Pack.

Retainer. A retainer is one of our Growth or Complete monthly engagements. A retainer is never a Standalone Project.

3. What these terms cover

These terms set the general basis on which we offer our services online. They apply alongside:

For an ongoing or signed engagement, the Master Services Agreement and the relevant Statement of Work apply. Where you have signed the Master Services Agreement, it governs your engagement, and the order of precedence in section 14 below applies.

4. How to engage Sphin Media

There are two ways to engage us:

  • Order Now: choose a package or a Standalone Project, complete a short scope form, and check out. This is built for clients who want to buy directly.

  • Talk First: book a free consultation, with no card required. We follow up with a tailored proposal within one to three Business Days.

Clients in the healthcare sector are guided to Talk First by default, because that work is trust-led and benefits from a short discovery conversation. Order Now remains available to them.

5. Orders and when a contract forms

When you place a direct order, you agree to the Order and Checkout Terms, and you pay at checkout, either in full or by the first payment of the payment plan where you are eligible for it and choose to use it. Within one Business Day, a Sphin Media strategist reviews your brief and confirms the scope with you. You can proceed, adjust the scope, or cancel.

Until both sides confirm the scope, you can cancel for a full refund, and no work begins. From that point, the refund stages in the Refund and Cancellation Policy apply.

6. Fees, payment, and refunds

Our fees are the published prices on the price sheet on sphinmedia.com. Prices are shown in US dollars and are exclusive of any tax that applies. Any applicable tax is shown at checkout and added to the price.

Standalone Projects are paid in full at order, or at contract signing on the consultation path, unless you use the payment plan described below. Retainers are billed monthly in advance, with a minimum three-month term.

The payment plan lets you pay for an eligible Standalone Project with a deposit at order followed by weekly instalments, where the deposit and the number of instalments are set by the value of your order. It is available on card payment only and on Standalone Projects only, it is not available on retainers, on the 15 per cent advertising management fee, or on advertising spend, and the full tiers, the eligibility rules, and what happens if a scheduled payment is missed are set out in the Order and Checkout Terms, linked in the footer of this site.

Refunds are governed by the Refund and Cancellation Policy, also linked in the footer of this site. It sets out the refund stage that applies at each point of a project, and how a refund is calculated where you are part way through a payment plan.

This does not remove any right you have as a consumer that cannot be removed by agreement. Where the law of your market gives you a statutory right that applies and cannot be waived, for example a return, withdrawal, or cancellation right, that right applies in addition to this page.

7. Intellectual property

The website, its content, and the Sphin Media brand and its associated intellectual property are owned by Assur Media, which operates the Sphin Media studio brand. Third-party content on the site is used under licence from the people who own it. You may not copy or reuse any of it except as the site allows.

Do not use the work shown in our portfolio. The work shown here is protected by copyright. Rights in client work belong to the client concerned. Rights in our own concept and sample work belong to Assur Media. Nothing on this site gives you any licence or right to copy, download, reproduce, adapt, republish, redistribute, or use any of it, in whole or in part, for any purpose. If you want to use something you have seen here, ask us first at contact@sphinmedia.com and we will tell you whose permission is needed. This does not affect any use that the law expressly permits without permission.

Ownership of your final deliverables passes to you by a written assignment of our economic rights, in the form the United Arab Emirates copyright law requires, once you have approved and accepted the work and the full price has been received in cleared funds. Until then, no ownership of, and no licence in, any draft, deliverable, source file, or working file passes to you.

Rights in the work we produce for you, including the elements we license from third parties and cannot transfer, are set out in full in the Usage Rights and Licensing Schedule.

8. Acceptable use of the website

You agree to use the website lawfully, not to interfere with it or attempt to gain unauthorised access, and not to use it to infringe anyone's rights.

9. Privacy and cookies

We handle personal data collected through this website in line with the applicable data protection rules, including the United Arab Emirates Personal Data Protection Law (Federal Decree-Law No. 45 of 2021). How we do that is set out in our Privacy Policy.

Our use of cookies is set out in our Cookie and Consent Notice. Non-essential cookies are not set until you choose to allow them, and you can change your choice at any time.

10. What we do not promise

Sphin Media does not guarantee results, bookings, revenue, return on investment, rankings, patient numbers, or clinical outcomes. Our commitments are about the work and its timing, not the outcome it produces. This also reflects the advertising rules in the markets we serve, which require advertising to be truthful and not misleading.

11. Limitation of liability

Our total aggregate liability to you for all claims arising out of or in connection with an engagement is limited to the total price of that engagement. For a retainer, it is limited to the total price payable for the three months immediately before the event giving rise to the claim.

Neither of us is liable to the other for indirect or consequential loss, to the extent the applicable law permits that exclusion.

Nothing in these terms limits or excludes liability for fraud, for gross negligence, or for wilful misconduct, or any other liability that the applicable law does not allow to be excluded.

12. Changes to these terms

We may update these terms. Where a change is material, we post a notice on this site and, where we hold your email address and the change affects a live engagement, we also tell you by email.

Changes take effect 14 days after they are posted, except where a change is required by law, in which case it takes effect on the date the law requires. The version that applies to an order is the version in force when the order is placed.

13. Governing law and disputes

These terms are governed by the law of the United Arab Emirates. If something goes wrong, please contact us first at legal@assurmedia.com and we will try to resolve it with you directly. If we cannot, the courts of the United Arab Emirates have jurisdiction. Nothing here removes a right you have to bring a claim in your own country where the law of that country gives you that right and it cannot be waived.

14. Order of precedence

Where these documents differ, the following order applies: first, the Statement of Work, for the scope, deliverables and fees of that project; then the Retainer Agreement, for a retainer engagement; then the Master Services Agreement; then the Usage Rights and Licensing Schedule; then the Refund and Cancellation Policy; then the Order and Checkout Terms; then these Terms of Service.
